Please read these Terms and Conditions carefully before placing any order or entering into any agreement with Control Resources, Inc. By submitting a purchase order or engaging our design and manufacturing services, you agree to be bound by the terms set forth below.
1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern all transactions, sales, and service engagements between Control Resources, Inc. (“CRI,” “we,” “us,” or “our”), a Massachusetts corporation located at 43 Nagog Park, Suite 110 Acton, MA 01720, USA, and the purchasing entity (“Customer,” “you,” or “your”).
By placing an order, signing a quotation, or otherwise engaging CRI for products or services, you acknowledge that you have read, understood, and agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
CRI reserves the right to update or modify these Terms at any time without prior notice. The Terms in effect at the time of your order shall govern that transaction.
2. Products & Services
CRI designs and manufactures microcontroller-based and analog power electronics, including but not limited to fan speed controllers and alarms, motor and pump drives, variable frequency drives (VFDs), temperature controls, and custom power electronic assemblies. All products are intended for sale to Original Equipment Manufacturers (OEMs) and qualified commercial buyers.
CRI’s website and product catalog are provided for informational purposes only. Product specifications, pricing, and availability are subject to change without notice. Descriptions of off-the-shelf products do not constitute an offer to sell; all orders are subject to CRI’s written acceptance.
3. Orders & Acceptance
All orders must be submitted in writing via purchase order, signed quotation, or other mutually agreed written format. Verbal orders are not binding on CRI. An order is not accepted until CRI issues a written order acknowledgment or order confirmation.
CRI reserves the right to refuse or cancel any order for any reason, including but not limited to product unavailability, errors in pricing or product description, or concerns regarding the intended application of the product.
- Minimum order quantities may apply to certain off-the-shelf products.
- Custom design engagements require a signed project agreement or statement of work prior to commencement.
- Changes to accepted orders must be submitted in writing and are subject to CRI’s written approval, which may result in price or lead time adjustments.
4. Pricing & Payment
All prices are quoted in U.S. dollars (USD) and are subject to change without notice until a formal quotation has been accepted or a purchase order has been confirmed by CRI. Quoted prices are valid for thirty (30) days from the date of issue unless otherwise stated in writing.
Payment terms are net 30 days from invoice date, unless otherwise agreed in writing. CRI reserves the right to require prepayment or a deposit for new customers, custom design work, or orders exceeding credit limits. Interest will be charged on overdue balances at a rate of 1.5% per month (or the maximum rate permitted by law, whichever is less).
Prices do not include applicable sales tax, use tax, freight, insurance, duties, or other governmental charges, all of which are the responsibility of the Customer.
5. Delivery & Shipping
Delivery dates provided by CRI are estimates only and are not guaranteed. CRI shall not be liable for delays in delivery due to causes beyond its reasonable control, including but not limited to component shortages, acts of God, labor disputes, or transportation disruptions.
Unless otherwise agreed, all shipments are made EXW (Ex Works) CRI’s facility in Littleton, MA. Risk of loss and title transfer to the Customer upon delivery to the carrier. CRI will select the carrier unless the Customer specifies otherwise in advance.
- Claims for damage or loss in transit must be filed directly with the carrier.
- Claims for shipping errors or shortages must be reported to CRI in writing within five (5) business days of receipt.
6. Custom & OEM Products
Custom design and manufacturing engagements are governed by a separate project agreement or statement of work, which will specify design fees, production pricing, tooling costs, lead times, and any buyout provisions. In the event of a conflict between a project agreement and these Terms, the project agreement shall control.
Unless otherwise agreed in writing, all designs, firmware, schematics, and intellectual property developed by CRI as part of a custom project remain the sole property of CRI. The Customer receives a limited, non-exclusive license to use the resulting products purchased under the applicable agreement.
Custom products are non-cancellable and non-returnable once production has commenced, except as provided under Section 9 below.
7. Intellectual Property
All intellectual property embodied in CRI’s products, designs, firmware, software, documentation, and website content — including patents, trade secrets, copyrights, and trademarks — is and shall remain the exclusive property of CRI or its licensors. Nothing in these Terms grants the Customer any right, title, or interest in CRI’s intellectual property beyond the limited right to use purchased products for their intended purpose.
Customers may not reverse engineer, decompile, disassemble, modify, or create derivative works based on CRI’s products or proprietary technology without CRI’s prior written consent.
8. Warranty
Control Resources, Inc. (CRI) warrants that its products are free from defects in material and workmanship for a period of two (2) years from the date of shipment. CRI will, at its own option, either repair or replace the defective product, provided the purchaser has notified CRI and upon inspection, CRI has found such product to be defective and covered by this limited warranty. The Purchaser’s sole and exclusive remedy hereunder will be limited to such repair, replacement or credit.
9. Return Policies
- RMA Required: No returns will be accepted without a Return Materials Authorization (RMA) number. An RMA number will only be issued after the customer has described the failure mode, defect, or other reason for return in detail. Note: “failed test” or “does not work” is not a detailed description of a failure mode.
- Shipping Charges: Shipping charges to Control Resources will be paid by Control Resources if the root cause of failure has been identified and is one of the following: wrong item shipped, wrong component, poor solder joint, component not placed during assembly, or another known quality issue. The customer is responsible for shipping charges to CRI for all other cases.
- Credits: A credit will be issued based on the condition of the product received. No credit will be issued for microprocessor-based assemblies received without ESD protection.
- Restocking Fees: A restocking fee of up to 25% for unused catalog products and 50% for “specials” may be charged for product returned for credit only. Custom and obsolete products cannot be returned for credit.
- Service Fees: In cases where a unit is returned for failure analysis and no defect is found, or for troubleshooting of a product not covered under this warranty, a minimum service fee of $50 per unit will apply.
- Expiration: The RMA will be void if the product is not returned within 60 days.

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF CRI’S PRODUCTS, EVEN IF CRI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CRI’s total liability to the Customer for any claim arising out of or related to a given order shall not exceed the total amount paid by the Customer for the specific products or services giving rise to the claim.
These limitations apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise.
11. Confidentiality
Each party agrees to keep confidential any non-public, proprietary, or trade secret information disclosed by the other party in connection with a custom design or manufacturing engagement (“Confidential Information”), and to use such information solely for the purposes of performing obligations under the applicable agreement.
This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party prior to disclosure, or is required to be disclosed by law or court order (with reasonable prior notice to the disclosing party where permitted).
12. Governing Law & Dispute Resolution
These Terms and any dispute arising from or related to them shall be governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws provisions.
Any dispute that cannot be resolved informally between the parties shall be submitted to binding arbitration in Middlesex County, Massachusetts, under the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
These Terms constitute the entire agreement between the parties with respect to their subject matter and supersede all prior negotiations, representations, or agreements relating thereto.
